1. Acceptance of Terms
By accessing the Secure Finance Center website, creating an account,
or engaging any of our financial services, you acknowledge that you
have read, understood, and agree to be bound by these Terms and
Conditions, including all applicable supplemental policies and
disclosures referenced herein. If you do not agree to any provision
of these terms, you must immediately cease using our website and
services. Your continued use after any modification constitutes
acceptance of the revised terms.
2. Description of Services
Secure Finance Center provides a comprehensive suite of financial
services including but not limited to: loan origination and
facilitation, insurance brokerage and advisory, investment
management and advisory, wealth management and financial planning,
digital payment processing and infrastructure, debt relief
counseling and negotiation, home warranty plans, and auto warranty
plans. Each service category is governed by its own service
agreement, disclosure document, and applicable regulatory framework,
which are provided to you prior to engagement and are incorporated
by reference into these terms.
3. Eligibility and Account Registration
To use our services, you must be at least 18 years of age, a legal
resident of the United States or its territories, and capable of
entering into a legally binding contract. When registering for an
account, you must provide accurate, current, and complete
information. You are responsible for maintaining the accuracy of
your account information and for promptly updating any changes.
Secure Finance Center reserves the right to refuse service, suspend,
or terminate accounts at our sole discretion if we reasonably
believe that any information provided is false, misleading, or
violates these terms.
4. User Representations and Warranties
You represent and warrant that all information you provide to
Secure Finance Center is truthful, accurate, and complete in all
material respects; you have the legal capacity and authority to
enter into these terms and to engage the requested services; you are
not under any legal disability that would prevent you from
fulfilling your obligations; you will not use our services for any
illegal, fraudulent, or unauthorized purpose; and you understand and
accept the risks associated with financial services including
investment losses, insurance policy limitations, and debt relief
implications.
5. Account Security Responsibilities
You are solely responsible for maintaining the confidentiality and
security of your account credentials, including passwords, PINs,
security questions, and multi-factor authentication tokens. You must
not share your login credentials with any third party. You must
immediately notify Secure Finance Center of any unauthorized access
to your account or any other security breach. Secure Finance Center
is not liable for any loss or damage resulting from your failure to
maintain account security, except to the extent caused by our
negligence or willful misconduct.
6. Fees and Pricing Structure
Our fee structure varies by service category and is detailed in the
applicable service agreement or disclosure document provided to you
before engagement. Investment management fees are calculated as a
percentage of assets under management on a tiered schedule. Loan
facilitation fees may include origination fees, processing fees, or
broker fees as disclosed in your loan estimate. Insurance services
may involve commissions paid by carriers or advisory fees paid by
you, as disclosed in your insurance proposal. All fees are subject
to change with 30 days' written notice, except for fees locked under
a fixed-term agreement.
7. Payment Terms and Methods
Payment for services is due according to the terms specified in your
service agreement. We accept payment via ACH bank transfer, wire
transfer, check, debit card, or credit card. Late payments may incur
a penalty of 1.5% per month on the outstanding balance. We reserve
the right to suspend services for accounts that are more than 60
days past due. Any disputed charges must be reported in writing
within 30 days of the invoice date, and we will investigate and
resolve the dispute in good faith within 60 days.
8. Refund and Cancellation Policy
Service cancellation terms vary by category. Investment advisory
agreements may be terminated with 30 days' written notice; fees for
the partial month are prorated. Insurance policies are subject to
the free-look period specified in your policy (typically 10-30
days), during which you may cancel for a full refund of premiums
paid. Loan origination fees are generally non-refundable once the
loan has funded. Digital payment and warranty plan cancellations
follow the specific terms outlined in your service agreement. All
refund requests must be submitted in writing.
9. Investment Advisory Disclaimer
Investment advisory services provided by Secure Finance Center are
offered through Secure Finance Center Advisory Services LLC, a
registered investment adviser with the SEC. Past performance of any
investment product, strategy, or portfolio is not indicative of
future results. All investments involve risk, including the possible
loss of principal. The value of investments and the income derived
from them can go down as well as up. We do not guarantee any
specific level of performance, income, or profit. Investment
recommendations are based on your stated objectives, risk tolerance,
and time horizon, but they do not constitute a guarantee or
prediction of outcome.
10. Insurance Brokerage Disclosure
Secure Finance Center acts as an insurance broker or agent in
various states. As a broker, we represent you (the client) in the
marketplace and are compensated through commissions from insurance
carriers, fees from you, or a combination of both. The specific
compensation arrangement for each policy is disclosed in your
insurance proposal. We are required by state law to act in your best
interest when recommending insurance products. We are not an
insurance company and do not assume any underwriting risk. All
insurance policies are issued by and backed by the respective
insurance carriers.
11. Loan Services Disclaimer
Secure Finance Center facilitates loan origination by connecting
borrowers with participating lenders. We do not lend money directly
unless explicitly stated in your loan agreement. Loan terms, rates,
and approval are subject to creditworthiness, collateral evaluation,
and lender-specific underwriting criteria. We do not guarantee loan
approval or specific terms. Annual Percentage Rates (APRs) vary by
lender, loan type, and borrower qualifications. All loan terms are
disclosed in the Truth in Lending Act (TILA) disclosure provided
before loan closing.
12. Digital Currency and Investment Risks
Digital currency investment services involve substantially higher
risks than traditional investments. Digital currencies are highly
volatile, may experience rapid and significant price fluctuations,
and may become worthless. They are not insured by the FDIC, SIPC, or
any government agency. Regulatory treatment of digital currencies is
evolving and may adversely affect their value, usability, or
legality. You should only invest in digital currencies if you fully
understand the risks and can afford to lose your entire investment.
We strongly recommend consulting with your tax advisor regarding the
tax implications of digital currency transactions.
13. Intellectual Property Rights
All content, materials, and intellectual property on the the Secure Finance Center website and platforms — including but not
limited to text, graphics, logos, icons, images, audio, video,
software, data compilations, page layout, underlying code, and the
overall design — are the exclusive property of Secure Finance Center
or its licensors and are protected by United States and
international copyright, trademark, and other intellectual property
laws. You may not reproduce, distribute, modify, create derivative
works of, publicly display, or commercially exploit any portion of
our intellectual property without our prior written consent.
14. Prohibited Uses of the Platform
You may not use our website, applications, or services to engage in
any activity that is unlawful, fraudulent, defamatory, harassing,
threatening, obscene, or otherwise objectionable; attempt to gain
unauthorized access to any portion of our systems, accounts, or
databases; use automated means (bots, scrapers, crawlers) to access
or extract data without written permission; introduce viruses,
malware, or other harmful code; circumvent any security measures or
access restrictions; impersonate any person or entity or
misrepresent your affiliation; or interfere with or disrupt the
integrity or performance of our services or infrastructure.
15. User-Generated Content
By submitting any content to Secure Finance Center — including but
not limited to reviews, feedback, forum posts, or messages — you
grant us a non-exclusive, royalty-free, perpetual, irrevocable,
worldwide license to use, reproduce, modify, adapt, publish,
translate, distribute, and display such content in connection with
our services and marketing materials. You represent that you own or
control all rights to any content you submit and that such content
is accurate, lawful, and does not infringe on the rights of any
third party. We reserve the right to remove any user-generated
content at our sole discretion.
16. Third-Party Links and Services
Our website may contain links to third-party websites, applications,
or services that are not owned or controlled by Secure Finance Center. These links are provided solely for your convenience and do
not constitute an endorsement, sponsorship, or recommendation. We
have no control over and assume no responsibility for the content,
privacy practices, or policies of third-party sites. You acknowledge
and agree that Secure Finance Center shall not be liable for any
damage or loss arising from your interaction with third-party
services. We recommend reviewing the terms and privacy policy of any
third-party site before providing personal information.
17. Data Collection and Privacy
Our collection, use, storage, and sharing of personal information is
governed by our Privacy Policy, which is incorporated into these
Terms and Conditions by reference. By using our services, you
consent to the data practices described in the Privacy Policy. If
you do not agree with our data practices, you must discontinue use
of our services. We may update our Privacy Policy periodically, and
material changes will be communicated as described in the Privacy
Policy.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Secure Finance Center, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND
SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING
BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS
OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS, REGARDLESS OF THE
THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR
OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF
OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE TOTAL
FEES YOU PAID TO US DURING THE TWELVE (12) MONTHS PRECEDING THE
EVENT GIVING RISE TO THE CLAIM.
19. Indemnification
You agree to indemnify, defend, and hold harmless Secure Finance Center, its affiliates, directors, officers, employees, agents, and
service providers from and against any and all claims, demands,
liabilities, damages, losses, costs, and expenses (including
reasonable attorneys' fees) arising out of or related to your breach
of these Terms and Conditions, your use or misuse of our services,
your violation of any applicable law or regulation, your
infringement of any third party's intellectual property or other
rights, or any content you submit or make available through our
services.
20. Force Majeure
Secure Finance Center shall not be liable for any failure or delay
in performing our obligations under these Terms and Conditions if
such failure or delay results from circumstances beyond our
reasonable control, including but not limited to natural disasters,
pandemics, wars, terrorism, civil unrest, government actions, labor
disputes, power failures, internet outages, cyberattacks, or
failures of third-party service providers. During a force majeure
event, we will use commercially reasonable efforts to resume
performance as soon as practicable and will keep you informed of any
material disruptions to your services.
21. Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to
these Terms and Conditions or our services shall be resolved by
binding arbitration administered by the American Arbitration
Association (AAA) under its Commercial Arbitration Rules. The
arbitration shall be conducted by a single arbitrator with
experience in financial services law. The arbitration shall take
place in USA or at another mutually agreed location.
The arbitrator's decision shall be final and binding and may be
entered as a judgment in any court of competent jurisdiction. You
and Secure Finance Center agree to waive the right to a jury trial
and to participate in class action lawsuits or class-wide
arbitration.
22. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in
accordance with the laws of United States,
without regard to its conflict of law principles. Any legal action
or proceeding not subject to arbitration (as described in Section
21) shall be brought exclusively in the state or federal courts
located in USA. You hereby irrevocably consent
to the personal jurisdiction and venue of such courts and waive any
objection based on inconvenient forum or lack of jurisdiction.
23. Modifications to Terms
Secure Finance Center reserves the right to modify, amend, or update
these Terms and Conditions at any time at our sole discretion. We
will provide notice of material changes by posting the updated terms
on our website with a revised "Effective Date," sending email
notification to registered users, or displaying an in-app
notification at least 30 days before the changes take effect. Your
continued use of our services after the effective date of any
modification constitutes your acceptance of the revised terms. We
encourage you to review these terms periodically.
24. Termination of Services
Either you or Secure Finance Center may terminate the services
relationship at any time, subject to the specific termination
provisions in your service agreement. We reserve the right to
immediately suspend or terminate your access to our platforms and
services without prior notice if we reasonably believe that you have
violated these Terms and Conditions, engaged in fraudulent or
illegal activity, or pose a security risk to our systems or other
users. Upon termination, your right to use our services ceases
immediately, but provisions that by their nature should survive
(including intellectual property, limitation of liability,
indemnification, and governing law) shall remain in effect.
25. Severability and Entire Agreement
If any provision of these Terms and Conditions is held to be
invalid, illegal, or unenforceable by a court of competent
jurisdiction or arbitrator, such provision shall be modified to the
minimum extent necessary to make it valid and enforceable, or if
modification is not possible, shall be severed from these terms. The
invalidity of any provision shall not affect the validity or
enforceability of the remaining provisions. These Terms and
Conditions, together with the Privacy Policy, any applicable service
agreements, and all disclosures and acknowledgments referenced
herein, constitute the entire agreement between you and Secure Finance Center regarding the subject matter hereof and
supersede all prior or contemporaneous communications,
representations, or agreements, whether oral or written.
